Proposal of professional services, for the implementation of an analysis, support generation & response to E&Y´s customs findings report and an assessment & conciliation between physical inventory (ERP) and Customs Balances (Annex 24 & Data Stage).

 

 

Dear Ing. Esquivel:

 

Derived from the current activities, below please find the professional services proposal related to the implementation of several activities to be implemented by Centro de Inteligencia Empresarial y de Negocios (hereinafter “CIEN”) in order to properly generate the corresponding support and respond to E&Y customs findings report and perform a conciliation between physical inventories (ERP), against Customs Balances (Annex 24 & Data Stage) of HITACHI AUTOMOTIVE SYSTEMS MÉXICO, S.A. DE C.V. (hereinafter «Hitachi and/or the Company»):

 

  1. Our Work:

 

Below please find a general description of the activities to be performed by our Team in order to properly accomplish the objectives of the corresponding projects:

 

  • Analysis, support generation & response to E&Y´s customs findings report:

 

Implementation of a detailed analysis of the customs findings report issued by E&Y on May 8th, 2020 May 8, 2020, in order to determine the real status and situation of each item, including the generation of the corresponding support.

 

Preparing a document including a final response to E&Y, including all the observations, internal support and legal base for each comment, and/or finding reported by E&Y.

 

Determine Hitachi´s real customs exposure if that is the case, including our comments, suggestions, and legal support.

 

  • Assessment & conciliation between physical inventory (ERP) and Customs Balances (Annex 24 & Data Stage):

 

Most part of the findings included in E&Y´s customs report, were based on the difference between physical inventory (ERP) and the customs balances (Annex 24 & Data Stage).

 

Therefore, in order to be able to detect those difference, analyze the source and to determine the corrective actions, it is necessary to implement a detailed review of both balances.

 

The resulting report will not only support the legality of the customs operations made by Hitachi, in terms of E&Y´s customs findings report, but also will determine the reasons and source of such differences in order to establish the corresponding corrective actions.

 

In addition, this methodology would set the base for future periodical conciliations of both balances as an important internal control guaranteeing Hitachi´s compliance and eliminating unnecessary risks.

 

  1. Estimated time:

 

We are prepared to start both projects immediately upon approval by the Company. We estimate that the time required to complete this engagement will take around two months.

 

During the process, our team would provide written reports to Hitachi´s Management related to the status and details of each project.

 

  1. Professional fees:

 

Our professional services fees are based on a number of factors, including the time to be invested, the nature and value of the work to be performed, the level of experience of the staff required to perform the work, and the circumstances under which the work will be performed.

 

In this regard, below please find the description of our professional fees:

 

 

All the travel expenses must be covered by the Company. A monthly report would be presented by CIEN in order to properly support the corresponding out of pocket expenses.

 

Notwithstanding the above, in case our professional fees were affected by any circumstance other than those mentioned in this document, the Company would be immediately informed, in order to reach a mutually satisfactory decision that would allow the corresponding adjustments to be made.
